Programme Introduction:

It is imperative for business managers and executives working in public, private and not-for-profit sectors to have a reasonable understanding of legal and managerial issues in formulation, negotiation and execution of commercial contracts for competitive advantage.

Commercial contracts permeate the day-to-day life of a business manager. Either the business manager would be negotiating one with a vendor. He would be seeking recourse under the contract against a customer who is not paying the company in a timely manner or, the company would be considering grant of Employees Stock Options, the terms, and conditions of which are again contractual. Therefore, managers must be aware of the effect and impact of the document they negotiate and execute. They ought to be aware of their contractual rights, remedies and obligations along with necessary skills for drafting, performance and effective enforcement of commercial contracts. This Management Development Programme on ‘Contract Management, Negotiation & Arbitration’ will provide participants with the necessary tools, to critically examine contractual rights and obligations, to consider key elements at the time of contract drafting and negotiation to reach favorable outcomes, resulting in business advantage. Along with laying the foundation of contractual formulation, execution and negotiation, this programme also covers remedies in case of breach of contracts and strategies to mitigate the damages and dispute avoidance through arbitration and mediation. Reaching amicable settlements is necessary for making a good business better.

At the end of the programme, participants will have a better understanding of the strengths, weaknesses and legal risks before reaching an agreement so that the final contract is effective and implementable.

Programme Director:

Advocate Mr. Anupam Kishore Sinha is a qualified lawyer admitted to the rolls of the Bar Council of Delhi. He has earned his law degree from National Law University, Jodhpur in 2010. Mr. Sinha has had a rich experience of around 8.5 years of working with Luthra & Luthra Law Offices (recently rechristened to L&L Partners), a leading full-service law firm. During his stint, Mr. Sinha advised a number of Multi-national companies such as Google, Facebook, Yahoo!, United Health Group, Fidelity Group, Arcelor Mittal, Ranbaxy, Goodyear, Bank of Nova Scotia etc. After his stint with L&L Partners, he has been practicing as an Advocate on Record in the Supreme Court of India since February 2019 while handing commercial and contractual disputes across various foras including several Arbitration Tribunals comprising of Supreme Court and High Court Judges.
Whilst handling clients across major industry practice areas & sectors, Mr. Sinha provides legal advice & assistance to a wide range of domestic & international clients as well as foreign law firms, adding to a multitude of global clients.
In addition, Mr. Sinha has also earned an LLM from National Law University, Jodhpur. He has several publications in journals of national and international acclaim. As Visiting Faculty, he also teaches a course titled as “Legal Aspects of Business” and “Business Ethics” at FORE School of Management, New Delhi.

Prof. Shallini Taneja is having 17 years of experience in teaching, research and industry. She is a fellow from Management Development Institute (MDI), Gurugram. During her fellowship, she worked as a senior research fellow in a project for 6 months with her professors in AICTE sponsored National Research Project on “Corporate Social Responsibility (CSR) Reporting Practices in Indian Companies”. She is the recipient of sponsorships from ISDRS at Columbia University and The Wharton School, U.S.A. for paper presentation and attending the conferences. She has taken lectures at St. Mount Mary's University, USA on “Business Ethics and Corporate Social Responsibility in Indian Companies”.
She has served as honorary advisor to BRICS Chamber of Commerce & Industry, New Delhi in the area of CSR. She has taken lectures as guest faculty at The Indian Institute of Corporate Affairs (IICA) under aegis of The Ministry of Corporate Affairs, GOI on agenda building & impact assessment of projects in the social sector. She has been associated with The United Nations Information Centre for India and Bhutan, based in New Delhi, India for conducting joint programmes on Sustainable Development Goals-Agenda 2030. She is currently the Chair-Economics & Business Policy Area and Center for Sustainable Development (CSD) at FORE. Under CSD, she partnered with BRICS Chamber of Commerce & Industry, India, The United Nations Information Centre, ANUGRAHA (NGO), Indian Institute of Corporate Affairs (IICA), PHD Chamber of Commerce & Industry, International Association of Business and Society (IABS) USA, PDS Internationals private limited for organizing Seminars & Conferences & brought the sponsorships in the area of CSR and Sustainable Development. She is the reviewer and guest editor of various national and international journals for various publishers such as SAGE, Emerald and Springer. She has attended and presented many research papers at national and international conferences. She has contributed chapters in edited books and published peer review articles in national and international journals. Her research paper published in Journal of Business Ethics (Impact factor: 4.141) has more than 350 citations since 2011. She has conducted the International Training Program for EMBA Batch from Sichuan University, China on Business Environment and Corporate Governance. She has conducted the Workshops and Management Development Programmes on Corporate Social Responsibility (CSR), Business Responsibility Reporting and Impact Measurement of Social Projects for the middle level and senior managers as well as for the Executive Directors for the various companies like NHPC, GAIL, RITES, IRCTC, J.K Cement, EXIM BANK, SBI etc.
